Terms & Conditions — LockoutProducts.nl

1. Introduction

These Terms & Conditions apply to all offers, orders, and agreements made through LockoutProducts.nl, operated by GSH Identification Solutions. By placing an order, the customer accepts these Terms & Conditions.

2. Definitions

  • “Customer”: Any natural or legal person purchasing products or services from LockoutProducts.nl.

  • “Products”: All goods and services offered by LockoutProducts.nl.

  • “Agreement”: Any confirmed order or contractual obligation between the customer and LockoutProducts.nl.

3. Offers & Orders

  • All offers are non‑binding and subject to change.

  • An agreement is established once the order is confirmed in writing or when fulfilment has begun.

  • Changes requested by the customer may result in adjusted pricing or delivery times.

4. Pricing

  • All prices are listed excluding VAT, shipping costs, duties, and other applicable surcharges.

  • Prices may be adjusted due to changes in exchange rates, supplier pricing, raw material costs, or other external factors.

5. Delivery

  • Delivery takes place Ex Works (EXW) unless otherwise agreed.

  • Once shipped, all transport risk transfers to the customer.

  • Delivery times are indicative and not guaranteed. Delays do not entitle the customer to compensation unless explicitly agreed in writing.

6. Payment

  • Payments must be made within the stated invoice term.

  • Late payments incur interest of 1% per month plus all associated collection costs.

  • LockoutProducts.nl may require advance payment for any order.

7. Retention of Title

Products remain the property of LockoutProducts.nl until full payment—including interest and costs—has been received.

8. Warranty

  • Visible defects must be reported within 14 days of delivery.

  • Warranty covers manufacturing defects only and never exceeds the value of the product.

  • No warranty applies in cases of misuse, incorrect installation, normal wear, or use outside the intended purpose.

  • For third‑party manufactured items, warranty is limited to the supplier’s terms.

9. Liability

  • Liability is limited to the value of the product concerned.

  • LockoutProducts.nl is not liable for indirect or consequential damages, including loss of profit or downtime.

  • Liability is excluded except in cases of intent or gross negligence.

10. Force Majeure

LockoutProducts.nl is not liable for delays or non‑performance caused by circumstances beyond reasonable control, including but not limited to: government actions, transport issues, strikes, fire, supplier failure, or technical malfunctions.

11. Termination

LockoutProducts.nl may suspend or terminate the agreement immediately if the customer:

  • fails to meet payment obligations,

  • becomes insolvent or bankrupt,

  • undergoes liquidation or change of control. All outstanding amounts become immediately due upon termination.

12. Intellectual Property

All intellectual property rights related to designs, images, documentation, and materials provided by LockoutProducts.nl remain the property of LockoutProducts.nl unless agreed otherwise in writing.

13. Governing Law & Jurisdiction

All agreements are governed by Dutch law. Any disputes will be submitted exclusively to the competent court in Utrecht, The Netherlands, unless LockoutProducts.nl chooses another competent court.

14. Authentic Version

In case of translation differences, the Dutch version of these Terms & Conditions prevails.
